A shelf corporation is a corporation that has already been formed. In most cases it will not have conducted business. It does not hold assets, and has not incurred liability. What types of Shelf Corporations are there? Shelf corporations can be of any type of legal entity. This includes U.S. Corporations and Limited Liability Corporations. How is a shelf corporation’s age determined? The age on a shelf corporation begins from the date it was born “date of incorporation” As of this date the company starts the ageing process. Stroh’s Brewery has been incorporated since 1775 and although ALL of the original stockholders and officers are long gone, the companies age remains completely intact “Shelf” Corporations….Like Fine Wine There is a very large market for “shelf” corporations. A search on any search engine will immediately show you the value of a “shelf” corporation, especially as it gets older. Unlike some of us we will now be excited to see a birthday roll around, Our Companies Birthday that is!!! You see Shelf Corporations are like fine wine they increase in value with age. I reproduced a chart below from the internet that shows you how much companies are currently selling “Shelf” corporations for. By the time you finish this book you too will be able to earn money by “Flipping Corporations®” Table 1 (This list was pulled as of the date I created this book and is a representation of how age What is a “Corporate Flipper”® A Corporate Flipper® is what we have termed people who create corporations for the sole purpose of selling it for a profit. Similar to real estate “flippers” you buy a corporation with a depreciated value, you “fix” it up, and then you sell it. Page 8 of 17 www.AgedShelfCorps.com www.CorporateFlipper.com ® The Process of Becoming a “Corporate Flipper”® Purchasing a Corporation The first step is to purchase “The Right” corporation. When you purchase a corporation you must make sure it is a corporation that is likely to sell. In order to ensure this you must purchase the corporation the “right” way. We will show you a little later how you can get this done. Developing a Corporation Once you have the corporation you have the option of developing the corporation. When you develop the corporation properly you will increase its value. Selling a Corporation Once you have purchased and while the company is being developed you should have your company listed for sale. As your company ages and develops it becomes more valuable but it automatically has some value when it comes out of the box. According to the chart above a one month old Shelf Corporation sold for over $800. This is not a bad return on investment for something that costs a couple of hundred dollars. Turn Key Solution I understand that for many new business owners, especially us work at home types, don’t have a lot of money or a lot of time to learn everything there is to know about a new business. It is for that reason that we have developed a way for you to get into the “Corporate Flipper ®” business with very little effort or money. I will assist you with ALL the phases of building, developing, and selling your Shelf Corporation. All you have to do is let me. Purchasing Assistance The first step of being a Corporate Flipper ® is to file articles of incorporation in the state you want to have your company in. The name must be thoroughly researched to make sure you are not buying a name that already exists or has outstanding debt or lawsuits against it. You also must make sure there are no trademarks that could be infringed upon. You must also have the name registered properly so that the future buyers do not “lose” the age developed by the corporation. As part of our turnkey solution we will choose a name that will have the absolute best resell value, we will then do a complete and thorough research of name to make sure we rule out any future problems. Once the name is complete we will begin working on the development of the Shelf Corporation Development Assistance Once the company is created we will determine a base price for it and list it on our retail website www.AgedShelfCorp.com . Although the company now has some value we want to maximize the value of the corporation. Page 9 of 17 www.AgedShelfCorps.com www.CorporateFlipper.com ® A company’s value can be maximized by taking a few small steps to make the company more appealing to the end buyer. To make a company more appealing we attempt to do the following Create a corporate kit for the company that includes the following o Corporate Binder o Corporate Seal o Stock Certificates with Corporate Name o Stock transfer Ledger o Checklist, instructions, and worksheets o Customized Corporate Minutes o Customized Corporate Bylaws o Customized Corporate Agreements with corporate name Waiver of Notice and Minutes of Annual Meeting of Shareholders. Waiver of Notice and Minutes of Annual Meeting of Directors. Minutes of Special Shareholders Meeting. Notice of Annual Meeting of Shareholders. Provide an Employee Identification Number Open a Bank Account in companies name Buy a matching Domain Name Create a Website Set up a physical office Set up a phone number in directory assistance Page 10 of 17 www.AgedShelfCorps.com www.CorporateFlipper.com ® Create Business Credit All of these development items are optional but each one of them will make your company a little more appealing than someone else’s. It’s like in real estate, you can buy a house, wait for the market to change and sell it without doing anything to it, but, if you remodeled the house, painted it and made it look a little more appealing you could ask top dollar for it. We will work at getting as much of the development stage done, of course this is all based on your budget which we will get to shortly. Selling Your Company In order to sell your company it must be marketed properly. www.AgedShelfCorp.com is our retail website. We market this website throughout the internet to find buyers. We also grow our own buyers through our business credit building program at www.BusinessCreditCoaches.com How does being a Corporate Flipper® help me? If you are anything like me you have been searching for some time for a business opportunity that is legit, fair, and can be done from home. Becoming a Corporate Flipper ® will allow you to work from home, earn a fair compensation, and is very legit. Most of the companies currently selling Shelf Corporations are Attorneys. This opportunity is ideal for those that need to start out slow because of cash flow issues, but can be used by those who have money who can develop 10 – 20 corporations immediately. This program is also good for those just starting out in the business world or those that are about to retire and don’t have any retirement savings. Imagine starting off with just one company at a cost of about $225 and selling it a few months later and realizing a profit of several hundred dollars Imagine doing just one company per month and letting them all age for 1 year each and earning a thousand dollars on each of them. Once you start making money doing this you will want to invest in more and more companies. You can easily earn $1,000 - $10,000 extra income per month. Getting Started Company Creation To get started you must pay us the fee listed below or on our website at www.CorporateFlippers.com/listingfee.htm . The fee schedule below cannot be updated on a regular basis so please make sure you visit the website before making your final decision. Page 11 of 17 www.AgedShelfCorps.com www.CorporateFlipper.com ® Due to the fact that most of the fee is used to cover state filing fees all fees are subject to change without notice. We have found that the cheapest option will almost always be in your state or the state of Florida (where we are located). If we Incorporate in your state or in the state of Florida we don’t need to hire a registered agent which can cost over $150 per year. Table 2 - Fees STATE INC STATE INC Alabama $275 Montana $250 Alaska $440 Nebraska $315 Arizona $290 Nevada $365 Arkansas $220 New Hampshire $350 California $275 New Jersey $325 Colorado $225 New Mexico $280 Connecticut $470 New York $315 Delaware $245 North Carolina $310 D.C. $390 North Dakota $285 Florida $245 Ohio $310 Georgia $389 Oklahoma $230 Hawaii $380 Oregon $220 Idaho $280 Pennsylvania $325 Illinois $370 Rhode Island $440 Indiana $280 South Carolina $449 Iowa $230 South Dakota $290 Kansas $285 Tennessee $305 Kentucky $230 Texas $480 Louisiana $320 Utah $300 Maine $349 Vermont $270 Maryland $305 Virginia $265 Massachusetts $480 Washington $375 Michigan $245 West Virginia $290 Minnesota $349 Wisconsin $300 Mississippi $230 Wyoming $280 Missouri $230 . Once we receive your payment we will send you an agreement that states that you are the owner of the company but have hired us to purchase, market, and sell the aged corporation on your behalf. Page 12 of 17 www.AgedShelfCorps.com www.CorporateFlipper.com ® Company Development Further development of the shelf corporation is completely optional. When I speak about development of your corporation I mean developing the company in such a way that buyers of shelf corporations will choose your company versus someone else’s and be willing to pay more for it. One of the reasons people buy shelf corporations is so they can obtain credit. Lenders however do not solely rely on company age to determine credit worthiness. Lenders are looking for legitimacy.

A legitimate company has the following Age Corporate Stamps, Stock, Minutes, etc Business License Employer Identification Number Business Bank Account Business Stationary Website with Matching Domain Name Phone Number Listed with Directory Assistance Business Address Business Credit References Dun and Bradstreet Number The more you can offer a potential customer in the way of legitimacy the more you can charge. The problem for new Corporate Flipper ®s is they have a limited amount to invest. In our experience most competitors will include a corporate kit at a minimum. You can expect to pay $99 for this corporate kit when your shelf corporation sells. The items that give the most bang for their buck is a Business Bank Account, Business Credit References, and a Dun and Bradstreet Number. You can easily demand thousands extra if you develop these items early (We charge you $1,500 to set all this up for your shelf corporation) Other items can be developed for you just call us for pricing. Company Selling We market your shelf corporation several ways We have our retail site at www.AgedShelfCorps.com We sell Shelf Corporations to customers of our business credit builder program at www.BusinessCreditCoaches.com We sell Shelf Corporations to Business Credit Brokers and Consultants so they can use them with their clients.
